1. Agreement to Terms

These Terms of Service (the "Terms") form a legal agreement between you and KYI ENTERPRISES, LLC, a limited liability company located at 1201 Doral Dr, Youngstown, Ohio 44514, United States ("KYI ENTERPRISES," "we," "us," or "our"). By accessing or using the website at www.kyienterp.shop (the "Site"), you agree to be bound by these Terms. If you do not agree, do not use the Site.

Consulting engagements are governed by signed engagement memos and written deliverables. If an engagement agreement conflicts with these Terms, the engagement agreement controls within its scope.

2. The Site and Practice Information

The Site presents information about KYI ENTERPRISES, LLC and the consulting services we offer — division descriptions, method notes and contact channels. It is provided for general informational purposes.

Site content is not professional advice. Division and counsel descriptions are general summaries of the practice's advisory scope, not advice on any management, financial, environmental or scientific matter. Acting on Site content without engaging qualified counsel is at your own risk — nothing on the Site creates an advisory relationship.

3. Inquiries and Engagements

Submitting a brief through the Site or by email creates no engagement or obligation on either party. A consulting engagement forms only when a written scope proposal and engagement memo are executed. We may decline any engagement at our discretion, including where scope, subject matter or conflict checks fall outside our practice.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in violation of any applicable local, state, national or international law;
• Attempt unauthorized access to the Site, its hosting environment or related systems;
• Probe, scan or test Site vulnerabilities, or breach security or authentication measures;
• Introduce malware or other harmful code, or launch denial-of-service attacks;
• Scrape or harvest Site content or data by automated means without written consent;
• Misrepresent your identity, organization or consulting requirements in inquiries;
• Use the Site to send unsolicited commercial messages.

We may suspend or block access for conduct that violates these Terms or that we reasonably believe threatens the Site or other users.

5. Intellectual Property

The Site and all of its contents — text, design, layout, graphics, marks, and the selection and arrangement of materials — are owned by KYI ENTERPRISES, LLC or its licensors and protected by copyright, trademark and other intellectual property laws. "KYI ENTERPRISES" is an identifier of KYI ENTERPRISES, LLC.

You may view, download and print Site pages for personal, non-commercial informational use, provided proprietary notices are kept intact. Any other reproduction, distribution, modification or republication requires our prior written consent. Deliverables provided under engagements are governed by the intellectual-property terms in the engagement memo.

6. Confidentiality of Communications

Information sent through the Site or by email before an engagement exists is handled under our Privacy Policy and is not itself privileged or confidential. Proprietary material shared for scoping is used only to prepare the scope proposal; confidentiality obligations are stated in the engagement memo.

7. Third-Party Links and Services

The Site may link to third-party websites and relies on third-party services (including hosting by Google Firebase). We do not control and are not responsible for the content, availability or practices of third parties. Links are provided for convenience and do not imply endorsement.

8. Disclaimer of Warranties

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES RELATING TO THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free or secure, that defects will be corrected, or that content is complete, current or accurate at any time. Consulting deliverables carry the representations stated in the engagement memo — nothing on the Site extends or modifies them.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KYI ENTERPRISES, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR CLAIMS RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Liability under executed engagements is governed solely by the engagement agreement. Some jurisdictions do not permit certain limitations, so parts of this section may not apply to you.

10. Indemnification

You agree to indemnify, defend and hold harmless KYI ENTERPRISES, LLC and its members, managers, employees and agents from claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Mahoning County, Ohio, and you consent to their personal jurisdiction.

Before filing a claim, the parties will attempt in good faith to resolve disputes informally. Contact us first at a.park@kyienterp.shop and allow at least thirty (30) days for resolution discussions.

12. General Provisions

• Severability. If a provision is found unenforceable, the remainder stays in effect.
• No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without written consent; we may assign them in connection with a reorganization or sale.
• Entire agreement. These Terms, the Privacy Policy and any signed engagement agreement form the entire agreement about the Site.

13. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the current version. Material changes are posted on this page; continued use of the Site after changes take effect constitutes acceptance.
